Partner Program Terms & Conditions
These Partner Program Terms & Conditions (“Partner Terms”) govern your participation in the Morv affiliate and referral programme (the “Partner Program”), operated by Morv (“Morv”, “we”, “us” or “our”). Morv.ai LTD is a company incorporated in England and Wales under company number 17482982 with registered office at 14 Sunningdale Road, Cheadle Hulme, Cheadle, England, SK8 6PB. By applying to or participating in the Partner Program, you (“Partner”, “you” or “your”) agree to these Partner Terms.
These Partner Terms are in addition to, and incorporate by reference, our Terms of Service and Privacy Policy. Where these Partner Terms conflict with the Terms of Service in respect of the Partner Program, these Partner Terms prevail. Capitalised terms not defined here have the meaning given in the Terms of Service.
1. Definitions
- Referred Customer — a new customer who signs up for a paid Morv subscription through your unique referral link or invite and who is validly attributed to you under section 3.
- Qualifying Payment — a successful subscription payment made by a Referred Customer, treated as qualifying when received and subject to reversal under section 6 if it is later refunded or charged back. Top-up and credit purchases are not Qualifying Payments.
- Commission — the amount payable to you on a Qualifying Payment, calculated under section 4.
- Referral Code — the code in your referral link, campaign link or personal invitation.
- Referral Cookie — where the visitor accepts non-essential cookies, the browser cookie that remembers your Referral Code on later visits, as described in section 3.
2. Eligibility and Application
- Participation requires an approved Partner account. We review each application and may approve or reject it at our discretion, and we may require a valid company name and website as part of your application.
- You must be at least 18 years old and legally able to enter into this agreement.
- You must provide accurate registration details and keep them up to date.
- Payouts are available if your Stripe Connect account is in the United Kingdom, a European Union country, Norway, Liechtenstein, Switzerland, the United States or Canada. You choose the country when you set up payouts, and Stripe does not let an account change country afterwards.
- Approval is not guaranteed, and we may close the Partner Program to new applications at any time.
3. Referral Tracking and Attribution
- Last-touch attribution. Attribution is awarded on a last-touch basis, so the most recent valid Referral Code takes precedence.
- How attribution is recorded. If the visitor accepts non-essential cookies, we store your Referral Code in a Referral Cookie. If they do not, we hold it on our server for the rest of that visit only, so a signup during that visit is still attributed to you. Where no Referral Code from a link applies, a personal invitation you sent is matched to the email address it was sent to.
- Attribution window. A Referral Cookie currently lasts 30 days, and a Referral Code held on our server lasts for that visit. If the visitor signs up within that time, the signup is attributed to you. A personal invitation stays open until the invited person signs up; invitations that are never accepted are currently deleted after 12 months.
- New customers only. Only brand-new customers count. Existing or previously registered customers are never retro-attributed.
- One Partner per customer. Each Referred Customer is permanently attributed to a single Partner. Attribution is confirmed when the customer verifies their email and is not transferable.
- No self-referrals. You may not refer yourself, your own accounts, or accounts you control, and you may not sign up through your own link. Self-referrals are void.
4. Commission
- Rate. The standard Commission is a recurring 30% of each Qualifying Payment, unless a different rate has been agreed for your account. Your current rate is shown in your Partner dashboard.
- Subscription payments only. Commission is earned on subscription Qualifying Payments only. Top-up and credit purchases, taxes, and any third-party fees do not earn Commission.
- Recurring. Commission is earned on the Referred Customer’s initial subscription payment and on each subsequent renewal payment, for as long as the referral remains active and the Partner Program remains in effect.
- Initial commission. Commission on a Referred Customer’s first subscription payment is held until their subscription is active at the time of a payout run. If their subscription has not been active for three consecutive months, the initial commission is voided. Commission already earned on renewal payments is not affected.
- Currency. Commission is calculated and paid in pounds sterling (GBP).
- Crediting. Commission accrues as “pending” when a Qualifying Payment is received and becomes payable once it clears the holding and threshold requirements in section 5.
5. Payment Terms
- Stripe Connect. Payouts are made through Stripe Connect. You must connect and maintain a Stripe Connect account with payouts enabled. We do not hold your bank details; those are held by Stripe and are subject to Stripe’s terms.
- Payout schedule. Approved Commission is paid out monthly, in arrears, for the preceding month.
- Minimum threshold. A payout is only sent once your payable balance reaches the minimum threshold (currently £50). Balances below the threshold roll over to the next period.
- Your responsibility. We are not responsible for payouts that are delayed or fail because your Stripe Connect account is incomplete, unverified, restricted or closed. We send payouts in pounds sterling (GBP). If your Stripe Connect account is in another country, Stripe converts each payout into that account’s currency at Stripe’s exchange rate and deducts Stripe’s currency conversion fee, so the amount you receive in that currency can vary. Any further conversion your bank applies is a matter between you and your bank.
- Stripe terms. Setting up a Stripe Connect account means entering into Stripe’s Connected Account Agreement directly with Stripe, in addition to these Partner Terms.
- Taxes. You are solely responsible for determining, reporting and paying any taxes due on your Commission. Commission amounts are exclusive of VAT; if VAT is properly chargeable, it will be paid on receipt of a valid VAT invoice. We may deduct or withhold from any payout amounts we are required by law to deduct or withhold, and we are not obliged to gross up payouts.
6. Refunds, Chargebacks and Clawbacks
- If a Qualifying Payment is fully refunded, the related Commission is reversed.
- If a Referred Customer raises a chargeback or payment dispute, the related Commission is reversed when the funds are withdrawn. If the dispute is later resolved in our favour, the Commission may be reinstated.
- Reversed Commission is deducted from your pending balance and may be offset against future Commission and payouts. Where reversed amounts exceed your pending and future Commission, you must repay the excess to us on demand.
- We may withhold or reverse Commission that we reasonably believe arises from fraudulent, invalid, or policy-violating activity. Where we withhold Commission for review, we will notify you that it is held and the general reason, complete the review within 90 days of the hold, and release any amounts that we do not reasonably determine to arise from such activity (payment remains subject to the payout conditions in section 5). You may ask us at any time for the current status of a held Commission, and you may make representations which we will consider before deciding.
7. Prohibited Conduct
You must promote Morv honestly and lawfully. The following are strictly prohibited and may result in voided Commission, suspension, or termination:
- Spam of any kind, including unsolicited email, SMS, forum, comment, or social-media spam.
- False, misleading, or exaggerated claims about Morv, its features, or its pricing.
- Bidding on Morv brand names, trademarks, or common misspellings in paid search, or running paid ads that imply you are Morv.
- Cookie stuffing, forced clicks, or any artificial means of setting the Referral Cookie or passing a Referral Code.
- Self-referrals, incentivised signups, or referrals you know to be non-genuine.
- Using unauthorised coupon, deal, or cashback listings, or offering rebates we have not approved.
- Registering domains, social accounts, or app names that impersonate or could be confused with Morv, including typosquatting.
- Distributing Morv through software bundles, adware, malware, or browser extensions that hijack traffic.
- Any activity that is unlawful, infringes third-party rights, or damages Morv’s reputation.
- Offering, promising, or giving any bribe or improper financial or other advantage in connection with the Partner Program. You must comply with the Bribery Act 2010 and equivalent anti-corruption laws.
8. Brand Assets and Marketing
- We grant you a limited, non-exclusive, revocable, non-transferable licence to use Morv’s name and approved logos solely to promote Morv under these Partner Terms.
- You must follow any brand guidelines we provide and must not alter our marks or use them in a misleading way.
- All goodwill arising from your use of our marks belongs to Morv. This licence ends automatically when your participation ends.
- You must clearly and conspicuously disclose your material connection to Morv wherever you promote us (for example, “affiliate link” or “I earn a commission”), as required by the FTC Endorsement Guides, the UK CAP Code and ASA guidance, and equivalent rules in your territory. The disclosure must be unavoidable and must appear before the referral link.
9. Data Protection
- When you collect or submit the personal data of prospects (for example, to send an invite), you must have a lawful basis to do so and must comply with applicable data-protection laws.
- You must not upload or share personal data in breach of any law or third-party rights.
- We process referral and payout data as described in our Privacy Policy.
- In respect of referral and prospect data, you and Morv are each independent controllers of the personal data you each process. Neither party processes personal data as the other’s processor under these Partner Terms, and each party must comply with UK GDPR in respect of its own processing.
Indemnity. You will indemnify and hold harmless Morv and its officers, employees, and agents against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with (a) your breach of these Partner Terms or of any applicable law (including advertising, marketing, anti-spam, and data-protection laws), (b) your marketing statements or representations about Morv, or (c) your infringement of any third-party right.
10. Relationship of the Parties
You are an independent contractor. Nothing in these Partner Terms creates any employment, agency, partnership, or joint-venture relationship. You have no authority to make any representation, warranty, or commitment on behalf of Morv, and you must not hold yourself out as able to do so.
11. Confidentiality
You must keep confidential any non-public information you receive through the Partner Program (including non-public commission terms, dashboards, and customer data) and use it only to perform under these Partner Terms.
12. Suspension and Termination
- Either party may end participation at any time, for any reason, on written notice (including via the dashboard or email).
- We may suspend or terminate your participation immediately if we reasonably believe you have breached these Partner Terms or engaged in fraudulent or harmful activity.
- On termination, validly earned Commission that is not subject to reversal will be paid at the next scheduled payout, provided your payout account is in good standing. If you close your partner account yourself, it is deleted after the grace period shown in your dashboard, and Commission that has not been paid out by then — including a balance below the minimum threshold in section 5, Commission earned after the last scheduled payout before deletion, and Commission still held under section 4 or 6 — is forfeited when the account is deleted. Your dashboard shows your unpaid balance before you confirm, and you can cancel the closure until then. Apart from that, only Commission attributable to fraudulent activity or to your material breach of these Partner Terms may be forfeited; Commission not so attributable remains payable under section 5.
- The sections covering clawbacks, indemnity, confidentiality, taxes, liability, general provisions, and governing law survive termination. The brand licence in section 8 ends automatically on termination.
13. Changes to the Program
We may change the Partner Program or these Partner Terms, including commission rates, thresholds, and attribution windows. Except where a change is required by law or is needed to address a security or fraud risk, we will give you at least 30 days' notice by email before a change takes effect, and you may close your partner account at any time before the effective date if you do not agree to it. Changes apply prospectively from the date they take effect, and Commission already accrued on referrals made before that date is unaffected. Your continued participation after a change takes effect constitutes acceptance. We may also pause or end the Partner Program entirely; if we do, accrued and payable Commission that is not subject to reversal will still be paid.
14. Disclaimer and Limitation of Liability
The Partner Program is provided on an “as is” basis. To the maximum extent permitted by law, Morv is not liable for any indirect, incidental, or consequential loss, or for lost profits or anticipated Commission. Morv’s total aggregate liability to you arising out of or in connection with the Partner Program shall not exceed the total Commission paid to you in the 12 months preceding the claim. Nothing in these Partner Terms limits any liability that cannot be limited by law.
15. Governing Law
These Partner Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that we may seek injunctive relief in any competent court.
16. General Provisions
- Severability: If any provision of these Partner Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.
- Waiver: A failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights or obligations under these Partner Terms without our prior written consent. We may assign these Partner Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Entire Agreement: These Partner Terms, together with the documents they incorporate by reference, constitute the entire agreement between you and Morv regarding the Partner Program. Nothing in this provision excludes or limits liability for fraud or fraudulent misrepresentation.
- Third-Party Rights: A person who is not a party to these Partner Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their terms.
- Notices: Formal notices must be sent by email — to us at the contact address below, and to you at the email address registered on your Partner account — and are deemed received on the next business day after sending.
17. Contact
Questions about the Partner Program can be sent to partners@morv.ai.
18. If You Are a Consumer
Most partners join the Program in the course of a business. If you are joining as an individual and not in connection with a trade, business, craft or profession, you are a consumer, and nothing in these Terms removes rights the law gives you.
In particular, you may withdraw from the Program within 14 days of being approved, without giving a reason and at no cost, by emailing us at partners@morv.ai. Withdrawing does not affect Commission you have already validly earned on Qualifying Payments made before you withdrew; that will be paid at the next payout run in the ordinary way.
You can also close your partner account at any time, whether or not you are a consumer, from Settings in your partner dashboard.
